Explanation of Responses:
1. On March 14, 2005, Mr. Brewster was issued 3,150 Deferred Stock Units ("DSU's") by NRG Energy, Inc. ("NRG") under NRG's Long Term Incentive Plan (the "LTIP"). Each DSU is equivalent in value to one share of NRG's Common Stock, par value $0.01. On January 31, 2006, 25% of his grant, or 788 DSU's, converted to common shares. Pursuant to the LTIP, Mr. Brewster elected to satisfy his tax withholding obligation upon the exchange of common stock for DSU's by surrendering a number of shares of common stock having a value on the date of the exchange equal to the tax withholding obligation. This form is being filed to reflect the surrender of 295 shares of common stock to satisfy the grantee's tax withholding obligation.

Crane, Timothy W. J. O'Brien and Tanuja M. Dehne, signing singly, the

undersigned's true and lawful attorney-in-fact to: (i) execute for and on

behalf of the undersigned, in the undersigned's capacity as an officer

and/or director and/or owner of greater than 10% of the outstanding

Stock of NRG Energy, Inc., a Delaware corporation (the "Company"),

4, and 5 in accordance with Section 16(a) of the Securities

1934 and the rules thereunder; (ii) do and perform any
and all acts for and
on behalf of the undersigned which may be necessary

(iii) take any other action of any type whatsoever in
